About these terms
These Terms and Conditions govern your access to and use of the MYDIX platform, operated by [Registered legal entity name] ("MYDIX", "we", "us"). By creating a property account, starting a free trial, or using the platform in any way, you agree to these terms on behalf of the business you represent.
If you do not agree to these terms, do not use the platform.
Definitions
- Platform — the MYDIX software, including the hospitality partner dashboard, the kitchen dashboard and the browser-based guest experience reached by scanning a QR code.
- Partner or you — the hotel, resort, restaurant or other hospitality business that subscribes to the platform.
- Guest — an end customer of the Partner who uses the guest experience to browse a menu, place an order or raise a service request.
- Property — a location, or group of outlets and locations, configured by the Partner within the platform.
Eligibility and account registration
The platform is offered to businesses, not to individual consumers. You confirm that you are authorised to enter into these terms on behalf of your business, and that the information you supply during onboarding is accurate and kept up to date.
You are responsible for all activity under your account, including activity by staff accounts you create. Access is role-based: you decide which staff hold which roles, and you are responsible for removing access when someone leaves.
Free trial
New properties may be offered a free trial of 15 days, subject to the trial policy in force at the time. A trial does not begin automatically from a demo request — requesting a demo never activates a trial or a paid subscription.
Unless you subscribe before the trial ends, access to the platform may be suspended at the end of the trial period.
Plans, fees and billing
Published subscription rates are set out on the pricing page and are exclusive of GST, which is charged in addition at the applicable rate. Annual pricing, where offered, is configured per property.
- Fees are payable in advance for each billing cycle.
- We may revise published rates on reasonable prior notice; a revision takes effect from your next billing cycle.
- Fees remain payable for a billing cycle that has already begun, except as set out in the Cancellation and Refund Policy.
MYDIX does not charge a commission on the orders your property takes. Payment gateway charges are separate and are payable under your own gateway agreement.
Guest payments and your payment gateway
On plans with online payment enabled, guest checkout runs through your own Razorpay account. Funds from guest orders settle directly to you; MYDIX does not take custody of those funds and is not a party to the payment relationship between you, your guest and your gateway.
You are responsible for maintaining a valid gateway agreement, for the charges levied under it, and for meeting any obligations it places on you, including in relation to refunds and chargebacks.
Your responsibilities for content and service
You are solely responsible for the accuracy of what you publish through the platform and for the service you deliver to guests. This includes, without limitation:
- Menu content, prices, taxes, service charges and availability.
- Allergen, dietary and ingredient information, and compliance with applicable food safety and labelling requirements.
- Fulfilment of orders and service requests placed through the platform.
- Any statutory licences and registrations your business is required to hold.
MYDIX provides the software through which this information is presented. It does not prepare, sell or deliver food, and it does not verify the content you publish.
Acceptable use
You agree not to misuse the platform. In particular, you must not:
- Use the platform for any unlawful purpose, or to publish unlawful, misleading or infringing content.
- Attempt to gain unauthorised access to the platform, other properties' data, or the underlying infrastructure.
- Probe, scan, interfere with or place unreasonable load on the service, or circumvent any access control.
- Resell, sublicense or make the platform available to a third party except as expressly permitted in writing.
- Reverse engineer or copy any part of the platform except to the extent such restriction is prohibited by law.
Guest data
Where guests provide personal data through the guest experience, you determine the purposes for which that data is used in relation to your property, and MYDIX processes it on your behalf in order to provide the platform. You are responsible for giving guests any notice, and obtaining any consent, that applicable law requires.
How we handle personal data is described in the Privacy Policy, and KYC-specific handling in the KYC and Data Protection notice.
Availability, support and changes
We aim to keep the platform available and to improve it continuously, but we do not warrant uninterrupted or error-free operation. Access may be suspended for maintenance, for security reasons, or where required by law.
We may add, change or withdraw features. Where a change materially reduces core functionality you rely on, we will give reasonable prior notice.
Intellectual property
The platform, and all intellectual property in it, remains ours. You receive a limited, non-exclusive, non-transferable right to use the platform for your own business during your subscription.
Content you upload remains yours. You grant us the limited right to host, process and display that content as needed to operate the platform for you.
Suspension and termination
You may cancel in accordance with the Cancellation and Refund Policy. We may suspend or terminate access where fees remain unpaid after notice, where these terms are breached, or where continued provision would expose either party to legal or security risk.
On termination your right to use the platform ends. You may request an export of your data within [data export window] of termination, after which it may be deleted in line with our retention practices.
Disclaimers and limitation of liability
To the maximum extent permitted by law, the platform is provided "as is" and we exclude implied warranties. We are not liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or data.
Our total aggregate liability arising out of or in connection with these terms is limited to the subscription fees paid by you in the [liability cap period, e.g. twelve months] preceding the event giving rise to the claim.
Nothing in these terms excludes liability that cannot lawfully be excluded.
Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your content, your service to guests, or your breach of these terms or of applicable law.
Governing law and disputes
These terms are governed by the laws of India. The courts at [City], India have exclusive jurisdiction, subject to any dispute resolution mechanism the parties agree in writing.
