Sales Partner Agreement

[Registered legal entity name] may appoint you as a non-exclusive sales partner to introduce hospitality businesses to the MYDIX platform. Appointment takes effect only once we confirm it in writing and your KYC verification is complete.

This agreement does not grant exclusivity over any territory, segment or account unless we agree otherwise in writing.

You must be legally capable of entering into this agreement and must complete the verification described in the KYC and Data Protection notice before any commission becomes payable.

• Represent MYDIX accurately, using only current published materials and pricing.
• Introduce prospects through the lead registration process we provide, so attribution can be recorded.
• Comply with applicable law, including rules on unsolicited commercial communication.
• Keep commercial and technical information you learn about MYDIX confidential.
• Tell us promptly of any complaint or regulatory contact relating to your activity on our behalf.

• Make any representation, warranty or commitment on our behalf, including on pricing, features, timelines or service levels.
• Sign contracts, collect payments or issue invoices in our name.
• Offer inducements, rebates or discounts that we have not authorised in writing.
• Use spam, misleading claims, or impersonation of MYDIX staff.
• Bid on or register domains, handles or trademarks that are confusingly similar to ours.

You are an independent contractor. Nothing here creates employment, partnership, agency or authority to bind MYDIX.

A prospect is attributed to you when it is registered through the process we provide, is not already an existing customer, and is not already in our pipeline from another source at the time of registration. Where attribution is contested, our records determine the outcome, acting reasonably.

Attribution lasts for the window set out in the Commission and Payout Policy.

Commission entitlement, calculation, clawback and payout timing are governed by the Commission and Payout Policy, which forms part of this agreement and may be updated on reasonable notice.

During the term you may use our name and materials solely to promote the platform, in the form we supply and without alteration. All goodwill accrues to us. This permission ends immediately when the agreement ends.

Where you collect personal data of prospects, you must have a lawful basis for doing so and must provide the notice applicable law requires. You must not transfer to us any personal data you are not permitted to share.

This agreement continues until terminated. Either party may terminate on [notice period] written notice. We may terminate immediately for breach, misrepresentation, or conduct that risks our reputation or legal standing.

On termination, commission already earned and not subject to clawback remains payable. Confidentiality obligations survive.

You are responsible for claims arising from your own statements, conduct or breach of this agreement. Our aggregate liability to you is limited to commission properly due and unpaid at the time the claim arises.

This agreement is governed by the laws of India, with exclusive jurisdiction in the courts at [City], India.
